Effective upon electronic signature
Confidentiality and Document Access Agreement
This Confidentiality and Document Access Agreement is entered into by and between Vouchr and the individual signing below ("Recipient"). By signing, Recipient agrees to the terms below as a condition of accessing Vouchr documents, systems notes, business records, or other non-public materials through this portal.
1. Confidential information
Vouchr materials remain confidential whether viewed, downloaded, discussed, summarized, or copied.
"Confidential Information" means all non-public information disclosed or made available by Vouchr, directly or indirectly, including business plans, product direction, referral programs, payment and payout logic, fraud controls, roadmaps, source code, technical architecture, deployment plans, system diagrams, credentials, logs, customer or vendor records, screenshots, recordings, drafts, exports, and any notes, analyses, copies, or summaries derived from that information.
2. Permitted purpose
Recipient may use Confidential Information only for authorized Vouchr work.
Recipient may use Confidential Information solely to perform services, employment duties, evaluation, planning, advisory, development, technical operations, infrastructure, security, or other work expressly authorized by Vouchr. Recipient may not use Confidential Information for personal benefit, competitive purposes, outside projects, or any purpose not approved by Vouchr in writing.
3. Non-disclosure and handling
Recipient must protect Confidential Information and keep it inside approved systems.
Recipient must not disclose, forward, publish, screenshot, record, upload, summarize, copy, or move Confidential Information except as authorized by Vouchr. Recipient must not place Confidential Information into public repositories, public AI tools, unmanaged chat systems, personal cloud storage, personal devices, or unauthorized document systems. Recipient must use at least reasonable care and any stricter Vouchr security instructions to protect Confidential Information from loss, misuse, or unauthorized access.
4. Credentials and restricted systems
Access to credentials, administrative tools, payment systems, and production data is limited by default.
Credentials, secrets, admin accounts, payment systems, infrastructure access, security controls, and production data may be used only as specifically authorized. Recipient must comply with Vouchr access controls, least-privilege rules, MFA requirements, credential-handling instructions, and any request to rotate, return, disable, or revoke access.
5. Exclusions
Limited categories of information are not treated as Confidential Information.
Confidential Information does not include information that Recipient can prove was publicly available without breach of this Agreement, already known by Recipient without a confidentiality obligation before Vouchr disclosed it, lawfully received from a third party without a confidentiality obligation, or independently developed without use of Vouchr Confidential Information.
6. Return, deletion, and incident notice
Recipient must return or delete materials on request and report suspected exposure promptly.
Upon Vouchr's request or when access is no longer authorized, Recipient must promptly return, delete, or destroy Confidential Information in Recipient's possession or control and certify completion if requested. Recipient must promptly notify Vouchr if Confidential Information may have been lost, exposed, accessed by an unauthorized person, disclosed to the wrong recipient, or placed in an unauthorized system.
7. Ownership, no license, and remedies
Vouchr retains ownership of its information and may seek immediate protection for misuse.
Vouchr retains all rights, title, and interest in its Confidential Information. No license, assignment, or ownership interest is granted except the limited right to use Confidential Information for the permitted purpose. Recipient acknowledges that unauthorized disclosure or misuse may cause irreparable harm for which monetary damages may be inadequate, and Vouchr may seek injunctive or equitable relief in addition to any other available remedies.
8. Term and electronic signature
The electronic signature below is intended to bind Recipient to this Agreement.
Confidentiality obligations continue for three years from signature. Information that qualifies as a trade secret remains protected for as long as it remains a trade secret under applicable law. Recipient consents to use of electronic records and electronic signatures for this Agreement and agrees that the signature submitted through this portal is intended to have the same effect as a handwritten signature. Vouchr may retain the signed electronic record, agreement version, timestamp, account identifier, request metadata, and signature payload as evidence of acceptance.
This Agreement is governed by the laws of the jurisdiction in which Vouchr is organized or principally operates, without regard to conflict-of-law rules, unless a written agreement signed by Vouchr states otherwise.
